1. Introduction and Acceptance of Terms

Welcome to Nevo Axis. These Terms of Engagement govern your access to and use of our digital properties, as well as the foundational legal framework for our strategic advisory and executive search services. By accessing our platform, engaging our consultancy, or submitting credentials to our Private Portfolio, you agree to be bound by these Terms. If you do not agree to these stipulations, you must cease use of our services immediately.

2. Definitions and Interpretation

• "Nevo Axis," "We," "Us," or "Our" refers to the global advisory firm operating out of the United Kingdom.

• "Client" refers to any corporate entity, board, or organization that engages Nevo Axis for retained search or scaling advisory.

• "Candidate" refers to any elite professional or executive who submits their profile for consideration or is vetted for a mandate.

• "The Axis Framework" refers to our proprietary diagnostic vetting methodology and structural alignment protocols.

• "Mandate" refers to a formalized, retained executive search or strategic advisory project.

3. Scope of Strategic Search and Advisory Services

Nevo Axis operates exclusively on a retained, strategic basis. We do not engage in contingent recruitment. Our services encompass high-level global mapping, diagnostic vetting, and structural integration. The specific scope, timeline, and deliverables of any corporate engagement will be explicitly defined in a bespoke Master Services Agreement (MSA) executed between Nevo Axis and the Client prior to the commencement of a Mandate.

4. Client Obligations and Collaboration

The success of our diagnostic methodology relies on absolute transparency. Clients engaging Nevo Axis agree to provide accurate, comprehensive, and timely information regarding their corporate structure, culture, strategic objectives, and the specific requirements of the role. Any delays or omissions in providing essential intelligence may impact the execution timeline of the Mandate.

5. The Private Portfolio (Executive Candidate Terms of Use)

By submitting your professional credentials to our encrypted Private Portfolio, you attest that all provided information is accurate and current. Submission to the Portfolio does not guarantee representation, nor does it guarantee presentation to a Client. Nevo Axis reserves the right to evaluate, retain, or remove profiles at our sole discretion based on strategic alignment with our active or future global mandates.

6. Commercial Terms (Fees, Retainers, and Invoicing)

General use of our website and submission to the Private Portfolio is complimentary for executives. For corporate Clients, the financial structure—including retainer phases, success fees, and advisory costs—will be strictly governed by the individual Master Services Agreement. Standard terms require retainer installments to be settled prior to the initiation of the respective search phases.

7. Absolute Confidentiality and Mutual Non-Disclosure

Confidentiality is a mutual obligation. Nevo Axis guarantees the protection of sensitive Client data and Candidate identities, as outlined in our Privacy Policy. Conversely, Clients agree to maintain the strict confidentiality of any Candidate profiles, diagnostic reports, or strategic intelligence presented by Nevo Axis. Clients may not bypass Nevo Axis to directly hire a presented Candidate without fulfilling the financial obligations of the Mandate.

8. Intellectual Property and Proprietary Frameworks

All content, diagnostic models, scaling blueprints, and strategic methodologies—specifically including "The Axis Framework"—are the exclusive intellectual property of Nevo Axis. Clients and users are granted a limited, non-transferable license to utilize the deliverables provided during a Mandate for internal corporate purposes only. You may not copy, distribute, or commercially exploit our proprietary frameworks without express written consent.

9. Limitation of Liability and Indemnification

While Nevo Axis applies rigorous, clinical precision to our vetting protocols, the final decision to hire a Candidate or implement a strategic structural change rests entirely with the Client. We do not guarantee the future performance, tenure, or behavioral conduct of any placed executive. Nevo Axis shall not be held liable for any indirect, consequential, or operational losses arising from the integration of a Candidate or the implementation of our advisory strategies.

10. Term, Suspension, and Termination of Mandates

The terms governing the termination of a specific Mandate will be detailed within the individual MSA. Nevo Axis reserves the right to suspend or terminate our services—or remove a user’s access to our platform—if we determine there has been a breach of these Terms, a violation of confidentiality, or a failure to meet financial obligations.

11. Governing Law and Jurisdiction

These Terms of Engagement, and any operational disputes arising from them, shall be governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of connection with these Terms or our global services.
